TERMS AND CONDITIONS 1.0 LEASE REQUIREMENTS 1.1 Any evidence that an applicant has misrepresented information on the application will result in immediate disqualification. 1.2 All persons over the age of 18 who will be occupying the property must complete an application and be listed as a responsible party on the lease agreement. 1.3 Current and/or previous employers may be contacted to verify employment, income and longevity. 1.4 Self-employed persons must show a minimum of two years tax return to rent. 1.5 We may pull credit reports. Any applicant with evidence that they owe a prior landlord will be automatically disqualified. 1.6 We may contact prior landlords to inquire about payment history, property care, lease violation history, etc. Any applicant with a prior eviction in the past 5 years will be automatically disqualified. 1.7 A court and criminal history may be obtained. Anyone with any type of felony conviction within the last 2 years is automatically disqualified. Any applicant with a felony conviction within the last 5 years and any misdemeanor conviction subsequent to the felony will be automatically disqualified. 1.8 This lease application is part of the lease agreement. Any misrepresentation of facts on this application is justification for immediate termination of your tenancy. 2.0 DISCLOSURE: 2.1 DISCLOSURE: This is to inform you that an investigation involving the above statements made on this application for tenancy for the above-mentioned property is being initiated. By signing this application you acknowledge that these verifications will be done and give us approval to do so. You have a right to dispute the information being reported. I certify that to the best of my knowledge, the above statements are true and complete. I authorize Wilson & West Properties, LLC, to obtain character reports, criminal background check, credit reports, verification of rental and/or employment history as necessary to verify all information put forth in the above application for tenancy. False, fraudulent or misleading information may be grounds for denial of tenancy or subsequent eviction. 3.0 ADDITIONAL TERMS AND CONDITIONS 3.1 Web Site Access. 3.1.1 Wilson & West Properties, LLC will provide approved tenants with access to our web site to conduct normal business with Wilson & West Properties. Wilson & West Properties, LLC will assign one or more passwords and user names to tenants for use in accessing the site. Tenants represent and warrant that they will use their best reasonable efforts to ensure that (1) only authorized users have access to the site through Workstations; (2) services obtained by the tenant via the site are not accessible by unauthorized parties via the tenants connection to the Internet or otherwise; (3) all Passwords are kept confidential and secure by such authorized tenants (e.g., tenants shall ensure that Passwords are not stored on any Workstation nor other storage and retrieval system and/or media and that Internet browser caching functionality is not used to store Passwords); (4) each User ID and Password is used solely by the authorized tenant to whom such User ID and Password was issued; and (5) all documentation and other materials provided by Wilson & West Properties, LLC to the tenant under this Agreement are held in confidence by the tenant. The tenant shall immediately notify Wilson & West Properties, LLC if a tenant user with access to the site has left their home and shall be fully responsible for any use of the site by users accessing the site through those user IDs assigned to the tenant. In the event of any compromise of security involving User Ids or Passwords, the tenant shall immediately notify Wilson & West Properties, LLC. 3.2 Rights to Services. 3.2.1 The tenant shall not attempt, directly or indirectly, to reverse engineer, decompile, or disassemble Services or any confidential or proprietary criteria developed or used by Wilson & West Properties, LLC relating to the Services provided under this Agreement. Except as explicitly set forth in this Agreement, the entire right, title and interest in and to the Services shall at all times vest exclusively in Wilson & West Properties, LLC. Wilson & West Properties, LLC reserves all rights not explicitly granted to tenant under this Agreement. 3.3 Term, Termination and Survival. 3.3.1 The term of this Agreement shall commence upon the agreeing to the terms of this Agreement and shall remain in effect until terminated by any party hereto for any reason whatsoever. 3.4 Limited Warranty. 3.5.1 Wilson & West Properties, LLC represents and warrants that the Services will be provided in a professional and workmanlike manner consistent with industry standards. Wilson & West Properties, LLC DOES NOT WARRANT THE SERVICES TO BE UNINTERRUPTED OR ERROR-FREE OR THAT THE SERVICES WILL MEET the TENANT'S REQUIREMENTS. THE WARRANTY SET FORTH IN THIS SECTION 3.4 IS IN LIEU OF ALL OTHER WARRANTIES, WHETHER statutory, EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, WARRANTIES THAT MIGHT BE IMPLIED FROM A COURSE OF PERFORMANCE OR DEALING OR TRADE USAGE OR WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. 3.6 Limitation of Liability. 3.6.1 Wilson & West Properties, LLC’S SOLE LIABILITY, AND TENANT'S SOLE REMEDY, FOR VIOLATIONS OF THIS AGREEMENT BY Wilson & West Properties, LLC OR FOR BREACH OF Wilson & West Properties, LLC’S OBLIGATIONS SHALL BE THE CORRECTION OF ANY DEFECTIVE SERVICE OR THE REFUND OF FEES PAID FOR SAME. 3.7 ADDITIONALLY, Wilson & West Properties, LLC SHALL NOT BE LIABLE TO TENANT FOR ANY AND ALL CLAIMS ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT BROUGHT MORE THAN TWO (2) YEARS AFTER THE CAUSE OF ACTION HAS ACCRUED. 3.8 Assignment and Subcontracting. 3.8.1 Neither party may assign or otherwise transfer this Agreement, in whole or in part without the prior written consent of the other. Notwithstanding the foregoing, Wilson & West Properties, LLC may assign or transfer this Agreement to a wholly-owned subsidiary or in the event of a purchase of substantially all of Wilson & West Properties, LLC’s assets or in the event of a corporate form reorganization (e.g., LLC to C-Corporation). Moreover, Wilson & West Properties, LLC shall have the unrestricted right to subcontract the Services to be provided, provided that such subcontracting shall not relieve Wilson & West Properties, LLC of its obligations under this Agreement. The limited warranty and limitation of liability provisions set forth in this Agreement shall also apply for the benefit of Wilson & West Properties, LLC’s licensors, subcontractors and agents. 3.9 No Waiver. 3.9.1 No failure on the part of either party to enforce any covenant, agreement, or condition of this Agreement shall operate as a discharge of such covenant, agreement, or condition, or render the same invalid, or impair the right of either party to enforce the same in the event of any subsequent breach by the other party. 3.10 Severability. 3.10.1 Whenever possible, each provision of this Agreement will be interpreted in such manner as to be effective and valid under applicable law, but if any provision of this Agreement is held to be prohibited by or invalid under applicable law, such provision will be ineffective only to the extent of such prohibition or invalidity, without invalidating the remainder of this Agreement. 3.11 Force Majeure. 3.11.1 Wilson & West Properties, LLC shall not be liable for any delay in performance or failure to perform under this Agreement if such delay or failure us caused by conditions beyond Wilson & West Properties, LLC’ reasonable control. 3,12 Governing Law. 3.12.1 This Agreement shall be construed and governed by the laws of the State of Utah, without reference to the choice of law principles thereof. 4.0 PRIVACY 4.1 Wilson & West Properties, LLC takes seriously the trust you place in us. To prevent unauthorized access or disclosure, to maintain data accuracy, and to ensure the appropriate use of the information, we utilize appropriate physical, technical and administrative procedures to safeguard the information we collect. 4.2 We use Secure Sockets Layer (SSL) encryption when collecting or transferring sensitive information such as credit card information. SSL encryption is designed to make the information unreadable by anyone but us. This security measure is working when you see the symbol of either an unbroken key or a closed lock (depending on your browser) at the bottom of your browser window. 4.3 Credit card numbers and other personal information are used only for conducting our normal business activities and are not used for other purposes. 4.4 Wilson & West Properties, LLC will not sell, rent or lease your personal information to others except as described in this Statement. 4.5 This site is hosted by MBAWest Inc. MBAWest hosts the user pages, application information system and other capabilities implemented from time to time. MBAWest automatically collects information and may use this information in the aggregate. If you accessed this site MBAWest also automatically collects information about your experience. None of this data will be shared outside Wilson & West Properties, LLC or MBAWest Inc.
